摘要
1904年颁布的《公司律》是中国第一部公司法,它开了中国近代公司立法之先河。随着中国公司经济的进一步发展,1914年北洋政府在《公司律》的基础上制定《公司条例》,进一步规范了中国的公司组织,基本上奠定了中国公司法的模式。本文拟对这两部公司法作一番比较。
In 1904,the Company Law was enacted in the late Qing Dynasty,As China＇s first company law,the Company Law has established modern Chinese company law and opened the first modern company legislation in China.With the development of China＇s economy,the Company Ordinance,based on the Company Law,was established by Beiyang Government in Qing Dynasty in 1914,which further standardized the Chinese company organization and basically established the pattern of Chinese company law.This paper tries to contrast the content,the relevant provisions of Limited Liability Company and legal transplant,etc of the two company law.
