摘要
认购书是商品房销售中广泛使用的一种文书,但因其法律性质模糊导致大量纠纷。认为认购书具有预约合同的性质,其效力在于促使双方善意履行主合同洽谈义务,其中的定金条款兼具立约定金和违约定金的属性。认购书必须在开发商取得房屋销售许可的情况下才可以签订。结合实践,对于商品房认购定金罚则的适用分情况进行了探讨。
A great number of disputes arise due to lack of legal understanding of subscription agreement which is wide- spread adopted in the sales of commercial housing, This paper defines subscription agreement as a pre-contract which aims to urge both parties to negotiate sincerely. The deposit in subscription agreement can be in the nature of contract es- tablishment and default of agreement. Only after a housing sales license is acquired by real estate developer can a subscrip- tion agreement be arranged. Then, based on different situations in practice, this paper analyses the application of default penalty of subscription deposit.
