本文运用博弈理论、交易费用理论和资源基础理论从不同的侧面对两种企业组织方式———战略联盟和并购进行了比较分析 ,指出战略联盟和并购体现了两种不同的组织间关系 ,属于两种不同的治理结构 ,是企业获取资源的两种不同方式。最后 。
Based on game theory, transaction cost theory and resource-based view, this paper analyses the difference between the strategic alliance and M&A, and points out that as the different governance structures, strategic alliance and M&A represent two different kinds of relationships between organizations and means of gainning resources, and finally illustrates the problems resulted from the operations of strategic alliance and M&A.
