1919年,哈里伯顿创立了“新方法油井固井公司”。1924年,哈里伯顿油井公司正式注册,随后依靠股东石油公司壮大。1948年,哈里伯顿油井公司上市,之后不断并购整合,成为综合性油田工程技术服务公司,上世纪90年代以来,发展为走向全球市场的第二大油服巨头。哈里伯顿由家族企业到上市公司,如今的股权结构以机构投资者为主,这对其公司治理产生了决定性影响。哈里伯顿公司治理结构只设立董事会,引入独立董事制度,董事会授权审计、薪酬、提名与公司治理、健康安全环境4个专门委员会监测特定风险,采用统一管理之下的矩阵式组织架构。哈里伯顿的管理理念非常重视使命、价值观和可持续性指导原则。当前,哈里伯顿公司提出“聚焦回报”发展战略,更加注重非常规油气、成熟油田、深水油气开发和数字化转型,实现客户资产价值最大化。
Erle P.Halliburton established New Method Oil Well Cementing Co.in 1919.The company was incorporated as Halliburton Oil Well Cementing Co.in 1924 with several large petroleum companies as joint owners and experienced fast growth thereafter.Halliburton made its IPO in 1948 and emerged as an integrated oilfield engineering technology service company with continuous mergers and acquisitions.Since 1990s,Halliburton has become the 2nd largest oilfield services provider in global market.Halliburton changed from family business to public company,and welcomed the institutional investors as majority shareholders,which plays a significant role on its corporate governance.The Halliburton Board of Directors,with the independent director system,provides comprehensive oversight of the management and governance of the company.The Board authorizes Audit Committee,Compensation Committee,Nominating and Corporate Governance Committee and HSE Committee to monitor specific risks and adopt a matrix organizational structure with the uniform management.Halliburton emphasizes the importance of mission,values and guiding principles for sustainability.Currently,Halliburton develops a Returns-Focused strategy and pays more attention to unconventional oil and gas,mature fields,deep water development and digital transformation in order to realize the value maximization of client assets.
